These Official Rules (“Rules”) govern the Natasha Denona Rewards Member Giveaway (the “Promotion”). By participating, each entrant agrees to be bound by these Rules and by the decisions of the Sponsor/Administrator, which are final and binding in all respects.

  1. SPONSOR AND ADMINISTRATOR 

1.1. Sponsor: NATASHA DENONA LLC, with an address at 39 East 30th Street, New York, NY 10016, United States (“Sponsor”).

1.2. Sponsor and Administrator may be referred to collectively as the “Promotion Entities”.

1.3. Instagram accounts referenced: @natashadenona and @natashadenonabeauty (the “Brand Accounts”). 

  1. PROMOTION PERIOD

The Promotion begins 04/02/2026 at 11:00 AM [ET/PT] and ends 04/13/2026 at 11:59 PM [ET/PT] (the “Promotion Period”). Sponsor’s computer/servers are the official timekeeper for the Promotion.

  1. ELIGIBILITY

3.1. The Promotion is open only to individuals who, at the time of entry and at the time of prize award:

  • Are legal residents of the United States, including the 50 states and the District of Columbia (excluding U.S. territories and possessions) (the “Territory”);
  • Are 18 years of age or older (or the age of majority in their state of residence, if higher);
  • Are active members of the Natasha Denona website rewards program (the “Rewards Program”) (membership may be verified; see Section 8) ; and
  • For Instagram entries: have a valid Instagram account and comply with Instagram’s terms and policies.

3.2. Exclusions: Employees, officers, and directors of Sponsor/Administrator and their respective parents, subsidiaries, affiliates, agencies, suppliers, and contractors involved in the Promotion (and each of their immediate family members and household members) are not eligible.

3.3. No Purchase Necessary / Rewards Membership: No purchase is necessary to enter or win. Rewards Program membership is free and no purchase is required to enroll or participate in the Promotion.

  1. HOW TO ENTER

Eligible entrants may enter via either or both of the following methods during the Promotion Period (each an “Entry Method”):

A) Email / Website Entry (Form Submission)

  1. During the Promotion Period, visit https://natashadenona.com/pages/reward-member-giveaway (the “Entry Page”) via the email call-to-action or other Sponsor-provided link; and

  2. Complete and submit the entry form with the required information (which may include name, email address, mailing/shipping address, and contact information) (the “Email Entry”).

B) Instagram Entry (Comment + Follow; Bonus for Story Share)

  • During the Promotion Period, locate Sponsor’s most recent Instagram post on @natashadenona (or such other specific post as Sponsor designates in the post caption) (the “Giveaway Post”); and
  • In the comments, state your favorite Natasha Denona palette and tag at least one (1) friend (the “Instagram Comment Entry”); and
  • Be following (or follow) both Brand Accounts: @natashadenona and @natashadenonabeauty.

  1. ENTRY LIMITS; ENTRY CONDITIONS

A) Entry Limits

Unless Sponsor states otherwise in writing:

  • Email Entry: Limit one (1) Email Entry per person and per email address during the Promotion Period.
  • Instagram Comment Entry: Limit one (1) Instagram Comment Entry per person and per Instagram account during the Promotion Period (regardless of number of friends tagged).

Maximum total entries: two (2) entries per person during the Promotion Period (1 Email Entry + 1 Instagram Comment Entry).

Sponsor reserves the right to disqualify any entrant it believes has attempted to obtain additional entries by using multiple accounts, identities, devices, email addresses, automated means, scripts, bots, or other manipulative or fraudulent methods.

B) Entry Content and Conduct Rules

Entries (including comments) must not:

  • Include unlawful, defamatory, obscene, hateful, harassing, threatening, or discriminatory content;
  • Violate any third-party rights (privacy, publicity, IP);
  • Contain endorsements or claims that are false or misleading; or
  • Encourage spam or violate Instagram platform rules.

Sponsor may remove or disregard any entry that violates these Rules and may disqualify the entrant.

C) Rewards Program Verification Requirement

All entrants must be Rewards Program members. Sponsor may verify eligibility by requesting that the entrant confirm the email address associated with their Rewards Program account or other reasonable verification.

D) By submitting an entry, including any comments, text, photographs, videos, or other content posted in connection with the Promotion (“Entry Content”), entrant grants Sponsor and its affiliates a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, publish, display, distribute, adapt, and create derivative works from such Entry Content for promotional, advertising, and marketing purposes in any media now known or later developed, without further notice or compensation to the entrant.

E) Sponsor reserves the right to disqualify any entrant who tampers with the entry process, violates these Rules, uses automated systems, bots, scripts, or other unauthorized means to participate, or otherwise attempts to undermine the legitimate operation of the Promotion.

F) Sponsor reserves the right, in its sole discretion, to disqualify any entrant whose conduct, content, or public behavior is deemed by Sponsor to be inappropriate, offensive, harmful to Sponsor’s reputation, or inconsistent with the brand’s values.

  1. PRIZES; APPROXIMATE RETAIL VALUE

  • Number of winners: Ten (10)
  • Prize: Each winner will receive one (1) Natasha Denona Eyeshadow PR Box featuring an upcoming launch (the “Prize”).
  • Approximate Retail Value (“ARV”): $144 per Prize; $1440 total for all Prizes.

Prize conditions:

  • No cash substitution except where required by law.
  • Prize is non-transferable and non-assignable.
  • Sponsor reserves the right to substitute a prize (or portion) of equal or greater value if the advertised Prize becomes unavailable.
  • Prize contents may be subject to change based on availability and launch schedules.
  • Any and all federal, state, and local taxes and fees associated with the Prize are the sole responsibility of the winner.
  • Sponsor is not responsible for lost, stolen, delayed, or damaged shipments once the Prize has been delivered to the carrier.

Shipping: Prizes will be shipped only to verified winners at a valid address within the Territory. Sponsor is not responsible for undeliverable shipments due to incorrect or incomplete address information.

If required by law, winners may be required to provide tax documentation (including IRS Form W-9) and Sponsor may issue IRS Form 1099 for the approximate retail value of the Prize.

  1. WINNER SELECTION; ODDS

On or about 04/14/2026, Sponsor/Administrator will select ten (10) potential winners in a random drawing from among all eligible entries received during the Promotion Period.

Odds of winning depend on the total number of eligible entries received.

  1. WINNER NOTIFICATION; VERIFICATION; DISQUALIFICATION

Potential winners will be notified on or about 04/16/2026 via one or more of the following methods, at Sponsor’s discretion:

  • Email (to the address provided on the Entry Page); and/or

  • Instagram direct message (DM) from one of the Brand Accounts.

Potential winners may be required to:

  1. Confirm eligibility (including Rewards Program membership);

  2. Provide or confirm full name and shipping information; and/or

  3. Execute and return an Affidavit/Declaration of Eligibility, Liability Release, and where lawful, a Publicity Release, within [48-72 hours] of notification (or such other time specified by Sponsor).

If a potential winner (i) cannot be contacted, (ii) fails to respond within the stated timeframe, (iii) fails to satisfy eligibility requirements, (iv) fails to return required documents, or (v) is otherwise found to be ineligible or in violation of these Rules, Sponsor may disqualify that potential winner and select an alternate winner by random drawing.

  1. PUBLICITY

Except where prohibited by law, participation constitutes permission for Sponsor and its designees to use winner’s name, city/state of residence, Instagram handle, likeness, photograph, and/or prize information for promotional purposes in any media now known or hereafter developed, worldwide, without further payment or consideration.

  1.  RELEASE; LIMITATION OF LIABILITY

To the fullest extent permitted by law, by participating, entrants agree to release and hold harmless the Promotion Entities and each of their respective parent companies, affiliates, subsidiaries, advertising and promotional agencies, and each of their respective officers, directors, employees, and agents (collectively, the “Released Parties”) from and against any and all claims, liabilities, damages, losses, or causes of action arising out of or related to:

  • Participation in the Promotion;
  • Any acceptance, receipt, possession, use, or misuse of any Prize;
  • Any technical failures, transmission errors, or network/website/Instagram malfunctions;
  • Any unauthorized intervention, hacking, fraud, or tampering; and/or
  • Any injury, loss, or damage of any kind (including personal injury or property damage) to persons or property.

Nothing in these Rules excludes or limits liability that cannot be excluded or limited under applicable law.

  1.  DISCLAIMERS

Released Parties are not responsible for:

  • Entries that are late, lost, misdirected, incomplete, illegible, corrupted, damaged, or otherwise not received or not verifiable;
  • Any error in printing or posting these Rules or the Giveaway Post; or
  • Any incorrect or inaccurate information, whether caused by users, systems, tampering, or technical issues.

  1. GENERAL CONDITIONS

Sponsor reserves the right to:

Cancel, suspend, modify, or terminate the Promotion (in whole or part) if fraud, technical failures, or any other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Promotion, as determined. Sponsor reserves the right to suspend, modify, or cancel the Promotion if circumstances beyond Sponsor’s reasonable control, including but not limited to natural disasters, public health events, acts of war, terrorism, technical failures, or governmental restrictions, prevent the Promotion from being conducted as planned.

  1. Privacy

Information collected from entrants is subject to Sponsor’s Privacy Policy. By entering the Promotion, entrants agree to the collection, use, and processing of their personal information in accordance with such Privacy Policy and for purposes of administering the Promotion. Entrants may also have the option to receive marketing communications from Sponsor. Consent to receive such communications is not required to enter the Promotion.

  1. Governing Law; Jurisdiction

These Rules and the Promotion shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-law principles. Any disputes arising out of or relating to the Promotion shall be brought exclusively in the state or federal courts located in New York County, New York, and entrants consent to the jurisdiction of such courts.

This Promotion is in no way sponsored, endorsed, administered by, or associated with Instagram. By participating in the Promotion, each entrant agrees to release and hold harmless Instagram from any and all responsibility and liability related to the Promotion.
